Join a leading multinational organization in Kuwait undergoing rapid growth and preparing for IPO. We are seeking an experienced and proactive Compliance Manager to strengthen our corporate governance, regulatory adherence, and ethical culture across all business divisions.
This role plays a crucial part in building the compliance maturity, internal control structure, and documentation required for listing on Boursa Kuwait, in alignment with Capital Markets Authority (CMA Kuwait) and other Kuwaiti regulatory expectations.
About the Role
The Compliance Manager is responsible for designing, implementing, and overseeing the company’s compliance and internal-control framework to ensure full adherence to:
- Kuwaiti regulatory requirements
- CMA Corporate Governance Rules
- Ministry of Commerce & Industry (MOCI) regulations
- Kuwait Data Protection Law (KDPA)
- CITRA cybersecurity & data regulations
- International governance best practices applicable to Kuwait-based companies
This role requires a detail-oriented professional who can translate Kuwaiti regulations into operational controls, support external auditors, strengthen governance structures, and ensure the company meets the expectations of regulators and potential investors.
Key Responsibilities
1. Regulatory & Legal Compliance
- Ensure the company complies with all Kuwait regulatory requirements across commercial, operational, financial, and data-protection domains.
- Maintain the Kuwait compliance calendar and ensure timely submissions, renewals, licenses, and regulatory filings (CMA, MOCI, PIFSS, CITRA, etc.).
- Act as the primary point of contact with:
- Capital Markets Authority (CMA Kuwait)
- Ministry of Commerce & Industry
- Kuwait Data Protection Authority (or designated supervisory bodies)
- Public Authority for Manpower (PAM)
- Kuwait Municipality (when applicable)
- External auditors & legal advisors
- Conduct Kuwait-specific compliance risk assessments and identify control gaps impacting IPO readiness.
2. Policies, Procedures & Internal Controls
- Develop, update, and enforce compliance and governance policies aligned with Kuwait laws:
- Code of Conduct, Anti-Bribery, AML, Conflict of Interest, Data Privacy (KDPA), Whistleblowing, etc.
- Ensure policies are integrated into daily operations across all Kuwait-based and regional teams.
- Review business processes to ensure compliance with local regulations and CMA-mandated corporate governance requirements.
- Support internal control documentation for pre-IPO audit readiness.
3. Monitoring, Testing & Audit Support
- Conduct periodic compliance reviews, thematic audits, and monitoring across departments.
- Identify gaps, document findings, and oversee corrective-action plans.
- Ensure all compliance evidence is properly collected and maintained for Big-4 audits, CMA governance reviews, and potential IPO documentation.
- Support readiness for Kuwait-relevant audits and certifications:
- ISO 37301 Compliance Management
- ISO 37001 Anti-Bribery
- ISO 27001 / CITRA cybersecurity controls (if applicable)
4. Training & Awareness
- Lead compliance awareness initiatives across all Kuwait teams and regional offices.
- Deliver mandatory compliance induction for new employees.
- Promote an ethical, transparent, and governance-driven culture aligned with Kuwait’s regulatory expectations for listed companies.
5. Reporting & Governance Support
- Prepare timely compliance reports for senior management and the Board/Audit Committee.
- Highlight emerging risks, regulatory updates in Kuwait, and internal control gaps.
- Develop compliance dashboards, KPIs, KRIs, and governance scorecards aligned with CMA IPO readiness and investor expectations.
Qualifications & Experience
- Bachelor’s degree in Law, Business, Accounting, Finance, or related field (Master’s preferred).
- Minimum 5+ years in compliance, governance, internal controls, audit, or regulatory advisory in Kuwait.
- Deep understanding of:
- CMA Kuwait Corporate Governance Rules
- Kuwait commercial laws & company law
- Kuwait Data Protection Law (KDPA)
- Anti-bribery, AML, consumer protection, and labor regulations
- Experience supporting IPO readiness, governance transformation, or working with Big-4 audit firms is a strong advantage.
- Professional certifications such as CCEP, CIA, CISA, CRMA, ISO 37301, ISO 37001 preferred.
- Proficiency with GRC tools (SAP GRC, Archer, Odoo, etc.).
- Strong analytical, communication, and policy-writing skills.
- Fluency in English; Arabic is an advantage.
